EXP-ER

// TERMS & CONDITIONS

Terms of engagement.

// LAST UPDATED: OCT 2026

1. The company

These terms apply to all services supplied by EXP-ER LTD (Company No. 15139168), registered office: 86-90 Paul Street, London, EC2A 4NE, United Kingdom ("EXP-ER", "we", "us"), to you, the client ("Client").

2. Services

EXP-ER provides structured diagnostic and engineering services: the £300 System Diagnosis (Stage 01), fixed-build engagements (Direction — Stage 02), scoped multi-workflow builds (Refinement Lab — Stage 02/03), and platform productization (Digital Twin — Stage 03), optionally followed by a monthly operations retainer (The Run).

Each build engagement is defined by a separate written scope of work (the "Prescription Blueprint") agreed before work begins. Fees are fixed per scope; you approve the fee before any build starts.

3. Diagnosis guarantee clause

// THE GUARANTEE

The £300 System Diagnosis fee is 100% credited toward Stage 02/03 builds if initiated within 90 days, and 100% refundable solely if EXP-ER LTD determines no structural solution can be engineered.

  • 3.1 The credit applies once, against the first Stage 02 or Stage 03 build initiated within 90 days of the Diagnosis report being issued.
  • 3.2 The refund applies exclusively where our own engineering assessment concludes that no structural fix exists for your situation — not upon change of mind. The refund decision is stated in writing.
  • 3.3 The credit and the refund cannot be combined.

4. Intellectual property ownership

// THE STRUCTURE

EXP-ER LTD retains ownership of the core platform infrastructure (Layer 1/Layer 2 modules). The Client receives a perpetual license to use the platform and retains 100% ownership of their custom domain intelligence, business logic, and inputted data.

  • 4.1 Client ownership (Layer 3): your domain intelligence, business logic, inputs, datasets, and every custom workflow built specifically for you are yours outright, from delivery.
  • 4.2 EXP-ER ownership (Layers 1–2): the underlying platform core and reusable infrastructure modules remain ours — the same way a landlord owns the building while you own everything inside your tenancy. You receive a perpetual, royalty-free license to use them as part of your system; you never pay again to keep using what we built on.
  • 4.3 Nothing in these terms transfers your data ownership to us. Your inputted data remains yours at all times; on request (or on termination) we return or delete it per the Privacy Policy.

5. The Run (retainer)

The optional monthly retainer (£2,500/mo) continues until cancelled — there is no lock-in. Cancel with written notice at any time; no exit fees.

6. Payment terms

Diagnosis fees are invoiced and paid in advance. Build fees are invoiced per the agreed schedule in the Prescription Blueprint. Late payment may pause work; we always notify before pausing.

7. Liability

Our aggregate liability under these terms is limited to the fees paid for the specific service giving rise to the claim. We are not liable for indirect or consequential loss, business interruption, or lost profits. Nothing limits liability that cannot lawfully be limited.

8. Governing law

These terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction.
